Mr. Henderson is also a member of the boards of several nonprofit organizations. The Board concluded that Mr. Henderson should serve as a Director primarily due to his extensive experience in managing and overseeing businesses, his experience working with the boards and audit committees of large public companies, and his experience serving as a director of public companies and nonprofit organizations.
